Moore & Associates (“M&A”) delivers the best of BigLaw with small firm efficiency. We are primarily transactional lawyers with an emphasis in corporate finance and governance, real estate and commercial law. We generally provide legal advice on matters ranging from financial transactions, complex corporate law, structured finance, securities, regulated entities, litigation, real estate acquisitions, and redevelopment, to asset valuations, management, and dispositions. Both senior management and our associates are highly experienced, diverse, and agile business lawyers who have honed our skills practicing in large corporate law firms and in-house legal departments of major corporations and governmental agencies. The capital markets and finance group focus on structured finance and securitization transactions, including collateralized loan obligations, asset-backed securities, asset-based lending, and structured products and derivatives transactions. Our finance experience is quite extensive and includes banking and institutional investing, public finance, and real estate finance transactions. Clientele includes issuers, arrangers, underwriters, initial purchasers, lenders, borrowers, asset managers, credit and liquidity support providers, and other transaction parties in various capital markets public and private debt and equity finance transactions. Members of the firm have represented government agencies, quasi-public and institutional lenders since 1990, in a broad array of bank regulatory matters and transactions. We have handled asset-based financing transactions for institutional lenders dating back to the Resolution Trust Corporation and from the borrower’s perspective involving all types of commercial paper conduits and collateralized loans. Our experience runs the gamut from institutional banking certifications and capitalization through the borrower loan application process from inception to maturity. Senior partners have served on several Boards of Directors and helped to chart strategy, analyzes business transactions and alternatives, structure investments and incentivizes for senior executives on business expansion. Other areas of practice include real estate and community development, and general corporate and commercial transactions. We work closely with philanthropic funds, private foundations and non-traditional sources of capital that look to strategically finance projects in historically underutilized areas. We are currently engaged by community oriented commercial lenders and funds who invest in small but innovative businesses or affordable housing, providing needed debt and equity capital in economically distressed communities. We handle CRA and other LMI and opportunity fund investments for institutional banks and sophisticated investors. Our attorneys counseled a $185 million growth housing fund, designed to create pathways to homeownership for low- and moderate-income (LMI) individuals and families while improving property values for LMI communities. As CRE attorneys and brokers, we are the preferred choice for many institutional clients, public authorities, property owners and developers attracted to a boutique operation with an established presence in the Mid-Atlantic and New York metropolitan areas. The firm currently handles up to 1M square feet of retail and office space at any given time throughout the DC Metropolitan region. Finally, as a GSA government contractor and partner with US Agencies, we counsel federal agencies and government sponsored entities under three types of service models: 1. LPO (Legal Process Outsourcers) – LPOs provide legal services to companies and law firms, often on a project basis. 2. MSP (Managed Service Providers) – MSPs perform all or a portion of a function of a legal department, such as compliance or risk-management, on an ongoing basis. 3. CSS (Contract and Staffing Services) – CSSs provide attorneys/paralegals/legal assistants to staff projects for clients on a temporary basis. A brief example of our public Sector activities are noted below: (Public Sector) Current Projects (Prime Contractor): (1) Legal Service – Fourth Contract with the U. S. Treasury Department, Special Inspector General for Troubled Asset Relief Program (SIGTARP); (2) Federal District Court Litigation Counsel – General Counsel, Federal Housing Finance Agency, which oversees Fannie Mae and Freddie Mac; (3) Commercial Real Estate Brokerage and Legal Services – Blanket Purchase Agreement with the General Services Administration, Public Buildings Service Office of Real Property Utilization & Disposal; and (4) Paralegal Support Services – U. S. Department of Justice/U. S. Attorney’s Office (Macon, GA).
